Capital Negocios – Terms of Use

These Terms of Use (“Terms”) form a legal agreement between you (“User,” “you,” or “your”) and Capital Negocios (“Capital Negocios,” “we,” “our,” or “us”).

By accessing capital-negocios.com (the “Site”), submitting information through the Site, or using our services, you agree to these Terms, our Privacy Policy, and any additional legal notices posted on the Site.

If you do not agree to these Terms, please do not use our Site or services.

1. Who We Are and Where We Operate

Capital Negocios is a U.S.-based commercial financing brokerage that connects small and medium-sized businesses with third-party lenders and financing providers (“Funding Providers”).

We operate within the United States, and our services are intended for U.S.-based businesses.

We do not provide payday loans, personal loans, or consumer credit. Financing arranged through our services is intended for business purposes only and is subject to the underwriting, eligibility requirements, and approval of the applicable Funding Provider.

2. Our Role

Capital Negocios is not necessarily the lender or direct provider of any financing product described on the Site, and we do not make the final credit decisions for third-party Funding Providers.

Our role is to collect information regarding your business and financing request and connect or introduce you to Funding Providers that may offer financing appropriate for your business.

Any approval decision and applicable rates, fees, financing amounts, payment or repayment frequency, and other terms are determined by the applicable Funding Provider.

Amounts, rates, timing, product descriptions, and other financing information displayed on the Site are examples, ranges, or general information and do not constitute an offer or guarantee of financing.

3. Eligibility and Truthful Information

You represent and warrant that:

• You are authorized to act on behalf of the business you represent.
• All information you provide is truthful, current, and complete.
• You will promptly update us if information you provided materially changes.
• You are at least 18 years old and legally able to enter into binding agreements.

You may not use our Site or services on behalf of another person or business without proper authorization or provide false, fictitious, fraudulent, or misleading information.

4. No Guarantee of Funding

Submitting a financing request, checking potential financing options, or completing an application does not guarantee approval or funding.

We make no guarantee that any business will receive financing or that financing will be available in any particular amount, at any particular cost, or within any particular period.

Approvals, amounts, rates, fees, and terms depend on factors that may include the underwriting criteria of independent Funding Providers, the information and documents you provide, your business profile, and other eligibility considerations.

Funding times described on the Site represent potential or estimated timelines after applicable approvals and completion of required documentation. Actual funding times may vary.

5. Compliance and Lawful Use

You agree not to use our Site or services for:

• Any unlawful purpose or in violation of applicable federal, state, or local law.
• Any deceptive, misleading, or fraudulent activity.
• Submitting inaccurate, fraudulent, or unauthorized information.
• Harassing, threatening, or otherwise harming any person or business.
• Attempting to interfere with the operation, availability, or security of our Site or systems.

6. Communications Consent and Credit Authorization

By submitting a financing request with your contact information, you authorize Capital Negocios and Funding Providers with which your request may be shared to contact you regarding business financing at the phone number(s) and email address you provide by phone, email, and text message (SMS), including through automated technology, autodialed calls, and prerecorded or artificial voice messages, even if your number appears on a Do Not Call list.

Your consent to receive marketing calls or text messages is not a condition of receiving financing or other services. Message and data rates may apply, and message frequency may vary.

You may opt out of text messages at any time by replying STOP and may opt out of marketing emails by following the unsubscribe instructions contained in the email. Non-marketing communications concerning a financing request or service you requested may still be sent where permitted by law.

By continuing to a full financing application, you also authorize Capital Negocios and applicable Funding Providers to obtain business and personal credit and background information concerning you and your business, as permitted by law, and to share your application and related information with Funding Providers for evaluation.

7. Intellectual Property

Unless otherwise stated, content available through the Site, including text, graphics, designs, logos, images, software, and other materials, is owned by or licensed to Capital Negocios and may not be copied, reproduced, distributed, modified, or commercially used without applicable permission.

8. Disclaimer of Warranties

Our Site and services are provided on an “as is” and “as available” basis.

Information provided through the Site is for general informational purposes and is not intended to constitute financial, legal, tax, or accounting advice.

To the maximum extent permitted by applicable law, we disclaim warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Capital Negocios will not be liable for indirect, incidental, special, consequential, or similar damages arising from your use of the Site or services or from financing obtained through a Funding Provider.

To the maximum extent permitted by applicable law, our total liability to you will not exceed the amount you paid directly to us, if any.

10. Indemnification

You agree to indemnify and hold harmless Capital Negocios and its officers, employees, representatives, and agents from claims, damages, liabilities, losses, or expenses arising from your violation of these Terms, your misuse of the Site or services, or information you submit without proper authorization.

11. Governing Law and Dispute Resolution

These Terms are governed by applicable U.S. federal law and the laws of the state in which Capital Negocios maintains its principal place of business, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of our Site or services will be resolved by binding arbitration in that state on an individual basis, except where otherwise required or prohibited by applicable law.

12. Changes to These Terms

We may update these Terms periodically by posting a revised version on the Site.

The “Last Updated” date above identifies when these Terms were most recently revised. Your continued use of the Site or services following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
